IB to start PDA talks with 4 hydropower project

    Power development agreementsAfter three years of hiatus, the government is finally moving ahead with power development agreement (PDA) negotiations with developers of four large-scale hydropower projects.

    A board meeting of the Investment Board (IB) held under the chairmanship of Prime Minister Baburam Bhattarai on Wednesday took a decision to this effect, enabling IB to fast-track formal negotiations with the developers of Upper Karnali, Upper Marsyangdi, Arun 3 and Tamakoshi 3 projects.

    The developers of these projects have already given their comments after reviewing the draft PDA template in December.

    The IB will use the PDA template as the basis for the negotiations and tailor it for each project. The government has directed the IB to finalize project-specific PDA.

    “With the board’s endorsement of our negotiating mandate, the PDA Negotiation Team will begin project-specific negotiations with the developers immediately under the guidance of the PDA Coordination Committee to be chaired by the Vice Chairman of the National Planning Commission,” said IB CEO Radesh Pant. The PDA negotiation team will be advised by relevant national and international legal, technical and commercial experts.

    The IB has said it will begin formal negotiations with foreign power developers — GMR Energy, Satluj Jal Vidyut Nigam Limited (SJVNL) and SN Power — in a few weeks.

    GMR is developing Upper Karnali (900 MW) and Upper Marsyangdi (600 MW), while Satluj is developing Arun 3 (600 MW) and SN Power is developing the 650MW Tamakoshi 3. “The IB will use the PDA template as the basis for negotiations and tailor it for each of the four projects,” said Pant.

    According to IB, an international team of experts has been appointed to provide input in IB’s assessment and better inform the negotiation strategy. The IB recently appointed engineering firm Lahmeyer International under the World Bank’s assistance via an open competitive process to review the four projects.

    “Their findings as well as our financial analyses will help inform Nepal’s negotiating position. We want to sign deals that are balanced with terms that protect and benefit all parties — deals that are a win-win for investors as well as Nepal,” added Pant.

    The power developers welcomed the government decision. Sandeep Shah, country representative of SN Power, said the decision has given some hope to the projects that have long been waiting to sign PDA. “It is a very positive move. We had long been waiting for this day,” said Sharma.

    Meanwhile, the board meeting also authorized IB to move ahead with the Detailed Project Report of the Kathmandu Valley Metro Rail project; mandated the Office of the Investment Board to form a six-member verification team to take forward the Kathmandu Valley Solid Waste Management project; and decided to conduct a feasibility study for a chemical fertilizer plant.

    Board to fast track hydro negotiations

    KATHMANDU: Investment Board will fast track formal negotiations on Project Development Agreement (PDA) with three mega hydropower developers covering four projects.

    After a meeting of the directors of Investment Board, chaired by caretaker prime minister Dr Baburam Bhattarai, today, in Kathmandu, the board has decided to fast track formal negotiations on each of the four hydropower projects — SN Power’s Tamakoshi 3 (650MW), SJVN’s Arun 3 (900MW), and GMR’s Upper Karnali (900MW) and Upper Marsyangdi 2 (600MW).

    The companies had reviewed a draft of the PDA template and commented on it in December.

    “The comments have been taken into account by the Investment Board and it will engage in finalising the project specific PDAs,” said Bhattarai, in the meeting.

    “The number one economic priority of the government has always been to harness hydro resources for economic transformation,” he said, adding the country now will move forward with negotiations. “We will conclude deals that ensure maximum benefits in terms of government revenue, local benefits for communities, maximising hydro spin offs for domestic industries and services sector, jobs for Nepalis, and solve loadshedding problem,” he added.

    The board will use PDA template as the basis for negotiations and tailor it to suit each of the four projects.

    With an installed capacity of a total 3,050MW, four projects aimed at Indian market will first satisfy domestic power needs. Of the four projects, Arun 3 has committed to provide Nepal with 21.9 per cent free electricity while Upper Karnali has committed 12 per cent free electricity and 27 per cent free equity, in addition to paying royalties and taxes.

    “PDA template reflects several changes following a detailed feedback from developers and the international lender community,” informed chief executive of the board Radhesh Pant.

    “In addition to a team of world class commercial, technical and legal experts, the board will be working very closely with the Ministry of Energy and Nepal Electricity Authority to bring this PDA to fruition,” he said, adding that with the board’s endorsement of the negotiating mandate, PDA Negotiation Team will begin project specific negotiations with the developers immediately under the guidance of a PDA Coordination Committee chaired by the vice chair of National Planning Commission Deependra Bahadur Kshetry.

    PDA Negotiation Team will be advised by relevant national and international legal, technical and commercial experts, said Pant, adding that an international team of experts has been appointed to provide input to the Investment Board in its assessment. “Negotiations on large-scale projects like these generally take several months to close.”

    Pant informed that the board has been conducting thorough financial analysis to assess economic benefits that would accrue to Nepal from the investment necessary to implement these hydro projects, each of which costs more than $1 billion (around Rs 85 billion).

    “We have just appointed a leading engineering firm Lahmeyer International with assistance from World Bank through an open competitive process to review the four projects,” he informed. “Their findings as well as our financial analyses will help inform Nepal’s negotiating position.”

    “The board will sign deals that are balanced with terms that protect and benefit all parties,” Pant said. Technical analysis will also ensure that these power projects are safe and sustainable.

    The board also made decisions on other large infrastructure projects and gave the Office of the Investment Board the approval to move ahead with a Detailed Project Report of Kathmandu Valley Metro Rail project, mandated the Office of the Investment Board to form a six-member verification team to move forward with Kathmandu Valley Solid Waste Management project, and decided to conduct a feasibility study for a chemical fertiliser plant.

    NIB to tailor PDAs for four hydel projects

    KATHMANDU, Feb 14: The government has finally cleared the way to tailor individual project development agreements (PDA) with three international power developers for developing four mega hydropower projects with collective generation capacity of 3,050 megawatts.

    A meeting of the board of directors (BoD) of the Nepal Investment Board (NIB) took such a decision on Wednesday and delegated authority to the NIB secretariat to form a negotiation team to discuss the projects with the developers, namely GMR Energy, Sutlej Jal Vidyut Nigam and SN Power.

    The Sutlej, Indian state-owned developer is engaged in development of the 900 MW Arun III; GMR, another Indian company, is engaged in two projects namely, 900 MW Upper Karnali and 600 MW Upper Marsyangdi, while SN Power, a Norwegian firm, is developing 650 MW Tamakoshi Hydropower Project.

    “The negotiation with the developers will go on fast track once the NIB secretariat forms a team to tailor PDAs for each of the projects,” Radesh Pant, chief executive officer of the NIB told Republica. “The government has also formed a three-member coordination committee to oversee the negotiation of the secretariat with the developers.” Dipendra Bahadur Kshetry, vice chairperson of the National Planning Commission (NPC) and Leela Mani Paudel, chief secretary, and Pant are in the committee.

    According to Pant, the PDA negotiations with each developer will be expedited on the basis of the PDA template developed by the NIB. “NIB has even appointed Lahmeyer International, an engineering firm, to review the four projects,” reads a release issued after the meeting. The World Bank has provided assistance to the NIB to hire Lahmeyer International.

    However, the NIB has been facing resistance from the Ministry of Energy (MoE) which is openly opposed to the government´s handing over of the four mega projects to NIB. MoE had a few days ago written to the Office of the Prime Minister and Council of Minister (OPMCM) requesting the government to rethink its move saying NIB lacks necessary manpower and expertise to hand such projects.

    Additionally, the meeting of the BoD has given a go ahead to the NIB secretariat to carry out work on the detailed project report (DPR) of the Kathmandu Metro Railway (KMR). After getting clearance from the BoD, NIB will soon finalize terms of reference with Nepal Metro Private Limited (NMPL) to expedite the DPR preparation work for the metro railway.

    The Ministry of Physical Planning, Works and Transport Management (MoPPWTM) had conducted the feasibility study of the project by outsourcing some domestic and South Korean firms.

    The NIB that came into existence more than a year ago to facilitate the implementation of mega projects on fast track mode has also got a nod from the BoD to conduct feasibility study of the chemical fertilizer plant. “The NIB has sought financial support from the Ministry of Finance (MoF) to conduct feasibility study for the plant,” an official told Republica.

    चार ठूला परियोजना अघि बढाउन वार्ता थालिने

    काठमाडौं, फागुन ३ (नागरिक) – लगानी बोर्डले जलविद्युत उत्पादक तीन ठूला कम्पनीसँग परियोजना विकास सम्झौता (पिडिए) सम्बन्धी वार्ता अघि बढाउने निर्णय गरेको छ। प्रधानमन्त्री बाबुराम भट्टराईको अध्यक्षतामा बुधबार बसेको बोर्ड बैठकले पिडिएको नमुनालाई वार्ताका आधारका रुपमा प्रयोग गर्ने निर्णय गरेको हो।

    बोर्डले चारवटा ठूला परियोजना विकास गर्न औचारिक वार्ता आगाडि बढाउने निर्णय गरेको छ। बोर्डले ६३० मेगावाटको तामाकोसी-३, नौ सय मेगावाटको अरुण-३, नौ सय मेगावाटको माथिल्लो कर्णाली र ६ सय मेगावाटको माथिल्लो मर्स्याङ्दी-२ विद्युत परियोजनाका लागि औपचारिक वार्ता थाल्ने निर्णय गरेको हो।
    अरुण-३ र माथिल्लो मर्स्याङ्दी-२ निर्माणको जिम्मा जिएमआर, अरुण-३ सतलज र तामाकोसी-३ बनाउने जिम्मा एसएन पावर कम्पनीले लिएको छ। अरुण-३ र माथिल्लो कर्णाली निर्माणका लागि विकासकर्ता कम्पनीहरुसँग सैद्धान्तिक सम्झौता भइसकेको छ। उनीहरुसँग सम्झौताभित्रै रहेर वार्ता अगाडि बढाइने छ।
    जडित क्षमता ३ हजार ५० मेगावाट भएका भारतीय बजार लक्षित यी परियोजनाले नेपालको आन्तरिक ऊर्जाको आवश्यकता पूर्ति गर्नेछन्। राजस्व (रोयल्टी) र कर तिर्नेबाहेक चार परियोजनामध्ये अरुण-३ ले २१.९ प्रतिशत बिजुली नेपाललाई निःशुल्क उपलब्ध गराउने प्रतिबद्धता गरेको छ। माथिल्लो कर्णालीले १२ प्रतिशत निःशुल्क बिजुली र २७ प्रतिशत निःशुल्क सेयर प्रदान गर्ने प्रतिबद्धता जनाइसकेको छ।
    सरकारले परियोजना विकासकर्ता कम्पनीहरूबाट पिडिए मस्यौदाको नमुनामा राय मागिसकेको छ। उनीहरुले दुई महिनाअघि बोर्डलाई अन्तिम सुझावसमेत दिइसकेका छन्।
    बोर्डका अध्यक्षसमेत रहेका प्रधानमन्त्री बाबुराम भट्टराईले बैठकमा निर्णय गरेपछि नेपालले चारवटै जलविद्युत परियोजनाबारे द्रूत गतिमा औपचारिक वार्ता अघि बढाउन सकिने बताए।
    लगानी बोर्डले जलविद्युत परियोजनाहरू कार्यान्वयन गर्दा आवश्यक पर्ने लगानीबाट हुनसक्ने आर्थिक उपार्जनको आँकलन गर्न विस्तृत वित्तीय विश्लेषण ढाँचा तयार गरिरहेको छ। प्रत्येक परियोजनाको लागत एक अर्ब अमेरिकी (८५ अर्ब रुपैयाँ) भन्दा बढी हुन्छ।
    बोर्डका प्रमुख कार्यकारी अधिकृत राधेश पन्तले परियोजनाको लाभ लागत आँकलनमा सुझाव दिन र वार्ताको रणनीतिलाई थप सुसूचित गराउन विज्ञहरूको अन्तर्राष्ट्रिय टोली नियुक्त गरिएको बताए।
    चारैवटा परियोजनाको समीक्षा गर्न केही समयअघि मात्र विश्व बैंकको सहयोगमा खुला प्रतियोगितात्मक प्रक्रियाद्वारा अग्रणी इन्जिनियरिङ संस्था लामेयेर इन्टरनेसनललाई नियुक्त गरिएको छ। ‘संस्थाको नतिजाका साथै हाम्रो वित्तीय विश्लेषणले नेपालले गर्ने वार्ताको स्थितिलाई सुसूचित गर्नेछ,’ पन्तले भने, ‘नेपाल र लगानीकर्ता दुवै पक्षलाई फाइदा पुग्ने सम्झौतामा सहि गर्न चाहन्छौं।’
    चार परियोजना अगाडि बढाउने वार्तालगायत अन्य ठूला पूर्वाधार निर्माणहरु अगाडि बढाउने निधोसमेत बोर्डले गरेको छ। काठमाडौं उपत्यका मेट्रो रेल परियोजनाका लागि विस्तृत सम्भाव्यता अध्ययन (डिपिआर) अगाडि बढाउने निर्णय गरेको छ। विज्ञ सहितको ६ सदस्यीय स्थलगत प्रमाणीकरण टोली गठन गरी काठमाडौं उपत्यका फोहरमैला व्यवस्थापन परियोजनाको कार्य अगाडि बढाउने समेत निर्णय भएको छ।
    रासायनिक मल कारखानाको सम्भाव्यता अध्ययन गर्ने कार्यादेशसमेत बोर्डले स्वीकृत गरेको छ। बैठकले सिमेन्ट उद्योगका लागि वैदेशिक लगानी सम्बन्धमा कार्यान्वयन प्रक्रिया अगाडि बढाउने निर्णय गरेको छ। यसका लागि लगानी बोर्डको कार्यकारी प्रमुखको संयोजकत्वमा उद्योग विभाग, खानी तथा भूगर्भ विभागका महानिर्देशकहरु सदस्य भएको समिति गठन गरिएको छ।
    बैठकमा प्रधानमन्त्री भट्टराईले सरकारलाई राजस्व प्राप्त हुने, स्थानीय समुदायहरूलाई फाइदा पुग्ने, नेपाली उद्योग तथा सेवा क्षेत्रलाई अधिकतम लाभ हुने, हजारौं नेपालीलाई रोजगारी प्राप्त हुने र उर्जा संकट समाधान गर्नेजस्ता विषयमा अधिकतम हित हुने गरी सम्झौतालाई निष्कर्षमा पुर्या उनुपर्ने बताए।
    बोर्डले आयोजना विकासकर्ता कम्पनीहरु र अन्तर्राष्ट्रिय ऋणदाता समुदायबाट प्राप्त विस्तृत सुझाव तथा प्रतिक्रियापछि पीडीएको नमुनामा व्यापक परिवर्तन गरिसकेको छ। पिडिएलाई परिस्कृत गर्न अन्तर्राष्ट्रिय स्तरका वाणिज्य, प्राविधिक तथा कानुनी विज्ञहरूका साथै ऊर्जा मन्त्रालय र नेपाल विद्युत प्राधिकरणसँग धेरै निकट रहेर काम गरिएको थियो।
    ‘बोर्डले कार्यादेश अनुमोदन गरेलगत्तै अब ऊर्जा उत्पादक कम्पनीहरूसँग परियोजना विशेषका लागि पिडिए वार्ता टोलीले वार्ता सुरु गर्नेछ,’ पन्तले भने। राष्ट्रिय योजना आयोगका उपाध्यक्षको अध्यक्षतामा पिडिए संयोजक समिति हुनेछ। समितिले वार्ता टोलीलाई मार्गदर्शन र निर्देशन गरी बाधा अड्काउ फुकाउने कार्य गर्नेछ। पिडिए वार्ता टोलीले राष्ट्रिय-अन्तर्राष्ट्रिय कानुनी, प्राविधिक र वाणिज्य विशेषज्ञहरुबाट सल्लाह लिनेछ।

    काठमाडौं, २ फागुन – लगानी बोर्डले विदेशी लगानीमा निर्माण हुने साढे ३ हजार मेगावाट क्षमताका ठूला चार जलविद्युत् आयोजनाका प्रवद्र्धकसँग आयोजना विकास सम्झौता (पीडीए) गर्ने भएको छ ।
    प्रधानमन्त्री बाबुराम भट्टराईको अध्यक्षमा बुधबार बसेको बोर्ड बैठकले लगानीकर्तासँग पीडीए थाल्न कार्यदिशा पारित गरेको छ । सरकारसँग पीडीए भएपछि मात्र बैंकले आयोजनामा लगानी गर्नेछन् । पीडीएपछि प्रवद्र्धकहरूले चार वटा आयोजना बनाउन साढे ३ खर्ब रुपैयाँ लगानी गर्नेछन् ।
    बोर्डले माथिल्लो कर्णाली (९०० मेगावाट), अरुण तेस्रो (९०० मेगावाट), मस्र्याङ्दी दोस्रो (६०० मेगावाट) र तामाकोसी तेस्रो (६५० मेगावाट) आयोजनाका प्रवद्र्धकसँग पीडीए गर्नेछ ।
    भारतको जीएमआर अपरकर्णाली हाड्रोपावर लिमिटेडले माथिल्लो कर्णाली, भारतकै सतलज जलविद्युत् निगम लिमिटेडले अरुण तेस्रो, नर्वेको एसएन पावरले ६ सय ५० मेगावाटको तामाकोसी तेस्रो र भारतकै जीएमआर इनर्जीअन्तर्गत हिमताल हाइड्रोपावर कम्पनीले मस्र्याङ्दी दोस्रो निर्माण गर्न लागेका हुन् । सतलज र जीएमआरले ९०–९० अर्ब, हिमतालले ६० अर्ब र एनएन पावरले १ खर्ब लगानी गर्नेछन् ।
    भारत निकासी प्रयोजनका लागि निर्माण, सञ्चालन, स्वामित्व र हस्तान्तरण (बुट) नीतिअन्तर्गत यी आयोजना बन्नेछन् । प्रवद्र्धकले आयोजनाको विस्तृत अध्ययन प्रतिवेदन (डीपीआर) तयार गरी बोर्डमा बुझाइसकेका छन् ।
    आन्तरिक तयारी पूरा गरी केही साताभित्र प्रवद्र्धकसँग पीडीए थाल्ने बोर्डका प्रमुख कार्यकारी अधिकृत राधेश पन्तले बताए । चारै आयोजनका प्रवद्र्धकसँग एकैपटक वार्ता हुने जानकारी उनले दिए । वार्ताका क्रममा हुने बाधा अड्काउ फुकाउन बोर्ड बैठकले राष्ट्रिय योजना आयोगका उपाध्यक्ष दीपेन्द्रबहादुर क्षेत्रीको अध्यक्षतामा पीडीए संयोजक समितिसमेत गठन गरेको छ । “सरकार र लगानीकर्ता दुबैको हित हुनेगरी पीडीए गर्नेछौं,” पन्तले भने, “नेपाललाई मात्र होइन, लगानीकर्तालाई पनि फाइदा पुग्ने सम्झौतामा सही गर्न चाहन्छौं ।”
    लगानीकर्ताको धितो भनेकै पीडीए डकुमेन्ट भएको बताउँदै पन्तले भने, “त्यही डकुमेन्टलाई बैंकमा पेस गरेर लगानीकर्ताले आयोजना बनाउन कर्जा लिने भएकाले पीडीए आवश्यक भएको हो ।”
    पीडीए बेलायतका कानुन व्यवसायी हावर्ड स्मिथको सहकार्यमा तयार भएको हो । पीडीएमा संस्थागत–सामाजिक उत्तरदायित्व (सीएसआर)को व्यवस्था गरी आयोजनाका लगानीकर्ताले प्रभावित क्षेत्रमा अस्पताल, स्कुल, क्याम्पस, खानेपानी र सिँचाइजस्ता अत्यावश्यक पूर्वाधार निर्माणका लागि केही प्रतिशत लगानी गर्नुपर्ने अनिवार्य व्यवस्था गरिएको छ ।
    लगानीकर्ताले आयोजनाको डीपीआर तयारीका साथै वातावरणीय प्रभाव मूल्यांकन तथा कनेक्सन एग्रिमेन्ट र पीपीएपछि मात्र पीडीए गर्ने प्रावधान राखिएको छ । समयसीमामा काम नगर्ने लगानीकर्ताको पीडीए खारेज हुने र पीडीए गरेपछि मात्र वित्तीय व्यवस्थापन गरे हुने व्यवस्था गरिएको छ ।
    यी आयोजना कार्यान्वयन गर्दा आवश्यक पर्ने लगानीबाट नेपाललाई हुनसक्ने आर्थिक उपार्जनको आँकलन गर्न बोर्डले विस्तृत वित्तीय विश्लेषण ढाँचा तयार गरिरहेको पन्तले बताए । बोर्डले चारवटै आयोजनाको समीक्षा गर्न विश्व बैंकको सहयोगमा लामेयेर इन्टरनेसनललाई नियुक्त गरेको छ ।
    राजस्व र करबाहेक माथिल्लो कर्णालीबाट जीएमआरले १२ प्रतिशत निःशुल्क ऊर्जा र २७ प्रतिशत बिनाआर्थिक दायित्व सेयर दिने सहमति गरिसकेको छ । माथिल्लो कर्णालीबाट नेपालले १ सय १० मेगावाट बिजुली निःशुल्क प्राप्त गर्नेछ । यो क्षमताको आयोजना बनाउन करिब ११ अर्ब रुपैयाँ लगानी गर्नुपर्छ । त्यस्तै, अरुण तेस्रो आयोजनाबाट सतलजले २२ प्रतिशत (१ सय ९८ मेगावाट) बिजुली निःशुल्क दिनेछ । यो क्षमताको आयोजना बनाउन २० अर्ब रुपैयाँभन्दा बढी लाग्छ । तीन वर्षअघि ऊर्जा मन्त्रालय र जीएमआरसँग पीडीएका लागि तीन चरण वार्ता गर्दा प्रगति नभएपछि रोकिएको थियो ।
    सरकारले सन् २०१२/१३ लाई लगानी वर्ष घोषणा गरी पहिलो वर्ष ८० अर्ब रुपैयाँ वैदेशिक लगानी भिœयाउने तयारी गरेको छ । पीडीए भएपछि यी चारवटा आयोजनाका लागि साढे ३ खर्ब रुपैयाँ नेपाल आउनेछ ।
    १ अर्ब रुपैयाँ लागत भएका परियोजना बोर्डमार्फत जानसक्ने व्यवस्था छ । बोर्डले प्रतिस्पर्धा वा सीधै वार्ताबाट लगानीकर्तालाई आयोजना निर्माणको जिम्मा दिनुका साथै सहजीकरण गर्नेछ ।
    त्यस्तै, बोर्ड बैठकले रासायनिक मल कारखाना, सिमेन्ट उद्योग स्थापनाका लागि कार्यदिशा पारित गरेको छ । काठमाडौं उपत्यका मेट्रो रेल आयोजनाको डीपीआर तयार गर्न कार्यविधि पनि पारित गरेको छ । मल कारखाना स्थापना गर्न उदयपुर जिल्लामा अध्ययन हुने भएको छ । अफ्रिकाको टङ्टो कम्पनीले नेपालमा सिमेन्ट उत्पादन गर्न ८० करोड डलर लगानी गर्ने आशयपत्रलाई अनुमोदन गरी वार्ता गरी निर्णयमा पुग्ने बोर्डले जनाएको छ ।

    के हो पीडीए ?
    लगानीकर्ताबाट राज्यले लिने लाभ, दिनुपर्ने सेवा–सुविधाका साथै सुरक्षाको प्रत्याभूति, लगानीमैत्री वातावरणको सुनिश्चितता, सम्झौताको मितिलाई आधार मानेर प्रवद्र्धकहरूले राज्यबाट पाउने कर छुट, निःशुल्क बिजुली लिने–दिने जस्ता विषयमा सरकार र प्रवद्र्धकबीच हुने सम्झौता पीडीए हो । पीडीए सम्झौतापछि मात्र बैंकहरूले आयोजनामा लगानी गर्छन् । ऐन–नियममार्फत करको दरमा परिवर्तन भए पनि पीडीए भइसकेका आयोजनामा पुरानै सेवा–सुविधा लागू हुनेछ भने आयोजनालाई सरकारले राष्ट्रियकरण गर्न पाउनेछैन । लगानीकर्ताको धितो भनेकै पीडीए डकुमेन्ट हो ।
